Cadence Terms of Service

Cadence Terms of Service

Effective date: September 30, 2026

These Terms govern your use of Cadence, a meeting recording, transcription, search, and meeting-evidence service operated by NYASB LLC (“Cadence,” “we,” “us”). By creating an account or using Cadence, you agree to these Terms. If you use Cadence for an organization, you represent that you have authority to act for it; “you” then includes that organization. If you do not agree, do not use the service.

1. Accounts and access

You need a Cadence account with a verified email address to access a hosted library. You are responsible for the security of your sign-in methods and for activity under your account. Tell us promptly if you suspect unauthorized access. Cadence assigns your meetings and projects to your account and does not make them public through the ordinary app or read-only assistant connection. You must meet the legal requirements to use this service in your location.

2. Recording and uploading conversations

You decide what to record or upload. You are responsible for giving any required notices, obtaining all required permissions and consents, and complying with laws and other obligations that apply to a conversation, its participants, and its content. Do not record, upload, or share material if you lack the right to do so. Cadence does not determine whether a particular recording is lawful for you. You remain responsible for the content you submit and the way you use it.

3. Your content and permission to operate Cadence

As between you and NYASB LLC, you retain the rights you have in recordings, transcripts, corrections, meeting titles, projects, and other material you provide or create in Cadence (“Your Content”). You grant NYASB LLC and its service providers permission to host, copy, process, transcribe, index, search, display, and transmit Your Content only as needed to provide, secure, and support the Cadence features you use, subject to the Cadence privacy notice. This permission ends when Your Content is deleted, except for limited processing and retention described in that notice or required by law. You represent that you have the rights needed to grant this permission.

4. Transcripts and generated information

Transcripts, speaker labels, timestamps, titles, and search results are generated or derived with automated systems and can be incomplete or wrong. Speaker labels identify inferred voices within a meeting; they do not verify a person's identity. Review the original recording and surrounding context before relying on an important passage or decision. Cadence does not confirm that a request discussed in a meeting was approved, completed, or authorized for action.

5. Connected assistants

If you choose to connect Cadence to ChatGPT, Claude, or another supported assistant, that assistant can use Cadence's read-only tools to retrieve meeting information your account may access in response to your requests. Results may include meeting titles and dates, projects, transcript passages, speaker labels, timestamps, search results, and links to the authenticated Cadence viewer. The assistant provider receives returned information under its own terms and privacy policy. The Cadence connection cannot edit or delete meetings, send messages, or act on a request merely because it appears in a transcript.

You can disconnect Cadence in the assistant and contact Cadence support if you need its authorization revoked. Revocation stops new access through that grant after it takes effect; it does not erase content already returned to an assistant or retained in its conversations. Review the assistant provider's controls for that content. Never paste your Cadence password or connector token into an assistant conversation.

6. Other services and devices

Cadence uses third-party authentication, transcription, and search providers as described in the privacy notice. Some features depend on your device, permissions, network connection, and those providers. If you use Cadence through an app store or connect an assistant, that third party's terms may also apply to its own service. Those third parties do not gain permission through these Terms to change your Cadence meetings.

7. Acceptable use

Do not use Cadence to violate law or another person's rights; access an account or meeting without permission; interfere with the service or its security; submit malicious code; or attempt to bypass account, rate, or access controls. Do not use the service in a way that creates an unreasonable risk to other users or its operation. We may investigate abuse and restrict access where reasonably necessary to protect the service, users, or legal rights.

8. Changes, availability, and fees

Cadence may change its features as the product develops. We will give notice of material changes to these Terms before they take effect, using the service or the account contact information available to us. If you do not agree to the updated Terms, you may stop using Cadence and request account deletion. Some features may be temporarily unavailable because of maintenance, failures, or dependencies outside our control. These Terms do not establish a paid plan or authorize a charge; any future paid offer must present its price and applicable conditions before you choose to purchase it.

9. Deletion and ending use

You can delete individual meetings in Cadence. Where supported in your client, you can start account deletion from Account → Delete account; you can also request help through Cadence support. Deletion of server data and backups follows the privacy notice. Copies you retain on your devices or export yourself are not automatically erased by server deletion. We may suspend or end access for material violations of these Terms, security threats, or legal requirements, and will give notice when reasonably possible. Provisions that by their nature need to continue, such as ownership and accrued obligations, survive termination.

10. Our service and intellectual property

NYASB LLC and its licensors retain rights in the Cadence software, branding, and service, other than Your Content. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use Cadence for its intended purpose while you have an account. You may not copy or redistribute the service itself except where law permits.

11. Limitation of liability

To the maximum extent permitted by applicable law, NYASB LLC's total liability to you for all claims arising out of or relating to Cadence or these Terms will not exceed the greater of US $1 or the amount you paid NYASB LLC for Cadence in the 12 months before the event giving rise to the claim. This limit does not apply to fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, your non-waivable consumer or statutory rights, or any other liability that cannot lawfully be limited. This section applies to users who first agree to these Terms after this section is published. For users who already agreed, it applies only to events after we give advance notice as described in Section 8 and the effective date stated in that notice. It does not limit claims arising before it becomes effective for you.
